Food Grain operates as an export trading company specializing in agro-industrial commodities from Kazakhstan to the European Union. Our primary focus is on establishing long-term, trust-based partnerships with importers, trading companies, and processing plants.

2. Services Description

Food Grain provides the following services:

• Product Supply: Export of agro-industrial commodities, with primary focus on flax seeds for food-grade and feed-grade applications, along with other grains, oilseeds, and pulses
• Quality Assurance: Transparent laboratory-based sampling and quality reporting conducted by certified third-party laboratories
• Logistics Services: Shipment organization under various Incoterms (FCA, DAP, DDP) via truck and rail transportation
• Documentation Support: Provision of all necessary export documentation including phytosanitary certificates, quality reports, certificates of origin, customs declarations, and transport documents
• Commercial Consulting: Price quotations, contract negotiation, and partnership development

3. Use of Website

3.1 Permitted Use

Our website is intended for business purposes related to the import and export of agricultural commodities. You may use our website to:

3.2 Prohibited Use

4. Commercial Terms and Contracting

4.1 Framework Contracts

Food Grain operates primarily under annual framework contracts. Specific terms of supply, including volume, quality parameters, pricing, and delivery schedules, are subject to individual contract negotiation and mutual agreement.

4.2 Pricing

All prices are provided on request and depend on:

• Order volume
• Current market conditions
• Selected Incoterms (FCA, DAP, or DDP)
• Delivery destination
• Quality specifications

For framework contracts, prices are fixed on the 1st day of each month, balancing market dynamics with buyer predictability. All price quotations are valid for a limited time and subject to confirmation.

4.3 Minimum Order Quantities

Minimum shipment volumes are:

• Truck shipments: 22 metric tons
• Rail shipments: 66 metric tons

4.4 Payment Terms

Food Grain requires a minimum prepayment of 10% of the cargo value before shipment release. Specific payment terms, conditions, and schedules are subject to individual contract negotiation and mutual agreement.

5. Product Quality and Documentation

5.1 Quality Standards

All products are supplied with quality parameters as specified in individual contracts. Our standard benchmark for flax is 97% purity, though specifications can be customized based on buyer requirements.

5.2 Quality Verification

Samples are taken by certified laboratory staff members (not by Food Grain personnel) to ensure independence and transparency. Laboratory reports explicitly state that sampling was performed by the laboratory representative.

5.3 Shipment Documentation

Each shipment includes:

• Phytosanitary certificate
• Quality documentation / lab report (COA / test report)
• Certificate of origin
• Customs declaration (GTD)
• CMR (road consignment note) or equivalent transport documentation

6. Logistics and Delivery

6.1 Incoterms

Food Grain operates under FCA, DAP, and DDP Incoterms. DDP delivery is available for all EU countries except Poland.

6.2 Typical Delivery Times

• Truck shipments: approximately 14 days
• Rail shipments: 14–30 days

Delivery times are estimates and may vary based on customs procedures, weather conditions, and other factors beyond our control.

6.3 Packaging

Products are delivered in big bags or bulk format, as specified in the contract.

7. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Food Grain or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

8. Limitation of Liability

To the fullest extent permitted by law:

• Food Grain shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We do not guarantee uninterrupted or error-free website operation
• Information on the website is provided "as is" without warranties of any kind
• Our liability for direct damages under any contract shall not exceed the total amount paid by you under that specific contract

Nothing in these Terms shall limit or exclude liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be limited or excluded by law.

9. Force Majeure

Neither party shall be liable for failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, strikes, governmental restrictions, pandemics, or failures of third-party services.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kazakhstan. Any disputes arising from these Terms or your use of our website shall be subject to the exclusive jurisdiction of the courts of Kazakhstan, unless otherwise agreed in a specific commercial contract.

For international supply contracts, governing law and dispute resolution mechanisms will be specified in individual contracts and may include international arbitration.

11. Modifications to Terms

Food Grain reserves the right to modify these Terms at any time. We will notify users of material changes by posting an updated version on our website with a new "Last Updated" date. Your continued use of the website after such changes constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
